ITEM 8.01   OTHER EVENTS.

 

On April 18, 2016, a wholly-owned subsidiary of the Company entered into a settlement agreement under which the Company agreed to dismiss with prejudice certain pending litigation.  Under the terms of the settlement the Company will receive a cash payment of $24.9 million.  A portion of the proceeds of the settlement will be paid to the original patent owner.  In connection with the settlement the parties have agreed to keep the additional terms of the settlement confidential.  The Company believes that other voice recognition services also infringe patents involved in the settled action.

 

The Company believes that the settlement agreement has been entered in the ordinary course of the Company’s business and has not been filed as an Exhibit hereto in accordance with Item 6.01(10)(ii) of Regulations S-K under the Securities Act of 1933, as amended.
